FAQs - AIF (Alternative Investment Funds)

Below is a comprehensive, FAQ framework which can help you to understand AIF.

AIF - London Event will help to give more clear information with Experts clarify any of your questions and concerns.

FAQ section for AIF information

1. Understanding AIF

An AIF (Alternative Investment Funds) is a privately pooled investment vehicle regulated by SEBI (Securities and Exchange Board of India) that invests in non-traditional assets such as private equity, venture capital, real estate, private credit, and hedge strategies.

Our fund is called Nakshatra Bharat Vantage Fund (Scheme 2)

Investment in the Nakshatra Stressed Assets Fund is suitable only for sophisticated investors with the ability to commit long-term capital, accept high risk and illiquidity, with no assurance of achieving stated investment objectives or returns.

Nakshatra Stressed Assets Fund is our Fund Managers entity
(SEBI Registered Cat-II Alternative Investment Fund)

Registration Number: IN/AIF2/22-23/1046

Category I – Startups, SMEs, infrastructure (growth-focused, government-supported)

Category II – Private equity, debt funds (most common for HNIs/UHNIs)

Category III – Hedge funds (public markets, derivatives, long/short strategies)

• Access to private markets and pre-IPO opportunities

• Higher return potential vs public markets

• Portfolio diversification

• Institutional-grade deal flow

2. Investment Eligibility & Structure

• High Net Worth Individuals (HNIs)

• Ultra High Net Worth Individuals (UHNIs)

• Family Offices

• NRIs / Overseas Citizens of India (OCI)

• Foreign investors (subject to regulations)

Typically ₹1 Crore (~£100K+) per investor for Category II & III AIFs.

Yes. UK-based investors (including NRIs/OCIs) can invest through FEMA-compliant routes using NRE/NRO/FCNR accounts or approved offshore structures.

• Category I & II: 5–10 years (long-term capital)

• Category III: Open-ended or shorter cycles

In our Fund (Nakshatra Bharat Vantage Fund) our tenure is 5 years

AIFs are typically set up as:

  • Trust structures (most common)
  • LLPs or companies (less common)

Key parties include:

  • Sponsor
  • Investment Manager
  • Trustee
  • Investors (Unit Holders)

AIF investments, particularly Category I and II, are long-term and typically illiquid, meaning early exits are not standard. However, in certain cases, exit may be possible through:

  • Secondary transfer of units to another eligible investor (subject to fund approval)
  • Buyback or replacement by another investor (if facilitated by the manager)
  • Distribution during partial exits at the portfolio level

Such exits are not guaranteed and depend on market conditions, investor availability, and fund terms. Investors are therefore advised to commit capital with a full-term investment horizon.

Yes — but not in the way retail SIPs work.

In a Category II AIF, you commit a total investment amount (e.g., ₹1 Crore) upfront through a legal agreement, but the fund draws this capital in tranches over time via capital calls.

How it works:

  • You commit ₹1 Cr at the start (this is mandatory)
  • The fund does not take full money immediately
  • Instead, it calls capital in phases (e.g., 20%–30% at a time)
  • You are required to honour each capital call within a defined timeframe

Important points:

  • This is not optional instalments — it’s a binding commitment
  • Failure to meet capital calls may lead to penalties or dilution
  • Helps optimise capital deployment (you don’t block full ₹1 Cr upfront)

3. Returns & Performance

Returns vary by strategy:

  • Category II (PE/Debt): ~15%–24% IRR (indicative, not guaranteed)
  • Category III: Market-linked (can be higher volatility)

No. AIFs are market-linked investments and do not offer guaranteed returns.

Through:

  • Capital appreciation
  • Dividends / interest (depending on strategy)
  • Exit events (IPO, acquisition, buyback)

4. Fees & Commercials

  • Management Fee: ~1.5% – 2.5% annually
  • Performance Fee (Carry): ~15% – 20% above hurdle
  • Hurdle Rate: Typically ~8% – 12%

A share of profits earned by the fund manager only after a minimum return (hurdle) is achieved.

5. Taxation & Repatriation

  • Category I & II: Pass-through taxation (taxed at investor level)
  • Category III: Taxed at fund level (varies by structure)

Tax depends on:

  • Investor residency
  • Type of income (capital gains, interest, etc.)

Yes, with proper structuring:

  • Double Taxation Avoidance Agreement (DTAA) benefits
  • Optimised holding structures
  • Professional tax planning recommended

Yes. Repatriation is allowed subject to:

  • FEMA guidelines
  • Bank compliance
  • Tax clearance

6. Risk & Governance

  • Illiquidity (capital lock-in)
  • Market and execution risk
  • Regulatory changes
  • Manager performance risk

AIFs are governed by:

  • SEBI AIF Regulations (India)
  • Strict disclosure, reporting, and compliance norms
  • Trustee oversight
  • Independent audits
  • Defined investment mandates
  • Periodic reporting

7. Liquidity & Exit

Generally no (especially Category I & II). These are long-term investments.

  • Strategic sale
  • IPO
  • Secondary transactions
  • Buybacks
